Vendidit Seller Agreement

ARTICLE I: INTRODUCTION

 

This Vendidit.com Program Seller Agreement (“Agreement”) consists of the Vendidit.com Terms and Conditions (“Vendidit.com Terms and Conditions”) and all Vendidit.com Marketplace Program policies and guidelines for Sellers and other policies referenced herein (together, the Seller Policies”), which are incorporated by reference.

 

This Agreement applies to any entity (“Seller”) that wants to sell goods or services (“Products”) in the Vendidit.com Marketplace through the Vendidit.com site or any Vendidit.com applications (“Vendidit.com Sites”), use any order processing, fulfillment, shipping, returns, or other services related to the Vendidit.com Marketplace provided by or for Vendidit.com (“Vendidit.com Services”), or use any platform, portal, web service, application, interface, or other tool provided by or for Vendidit.com in connection with the Vendidit.com Marketplace (“Vendidit.com Tools”). The Vendidit.com Sites, the Vendidit.com Services and Vendidit.com Tools shall be collectively known as the Vendidit.com Marketplace Program, the Vendidit.com Marketplace, or the Marketplace Program.

 

By submitting Sellers application, clicking the “I’ve read and agree to the Terms and Conditions for Vendidit.com” check box which Seller are prompted to click, creating an account or by offering any Products for sale on the Vendidit.com Marketplace, using any of the Vendidit.com Services, or using any of the Vendidit.com Tools, Seller agrees to be bound by all terms and conditions of this Agreement (including the Seller Policies), as this Agreement (or the Seller Policies) may be updated from time to time in accordance with this Agreement. Seller represents and warrants that Seller is registering with the Vendidit.com Marketplace on behalf of an entity and that Seller has the requisite right, power, and authority to enter into this Agreement on behalf of the entity Seller registers with the Vendidit.com Marketplace. Seller represents and warrants that Seller will update all of the information Seller provides in connection with the Vendidit.com Marketplace, Vendidit.com Services and Vendidit.com Tools as changes in such occur to ensure that it at all times remains accurate, complete, and valid.  Seller authorizes Vendidit.com (and will provide us documentation evidencing Seller’s authorization upon our request) to verify Sellers information (including any updated information) from time to time.

 

Vendidit.com may change this Agreement or the Seller Policies, including by introducing entirely new terms on subjects not previously addressed, at any time in its sole discretion. The changes will be effective upon posting of such updates in Seller Center, which is the primary web-based interface provided to Seller by Vendidit.com as part of the Marketplace Program. Seller is responsible for reviewing such postings and any applicable changes. Sellers continued participation in the Marketplace Program, including offering any Products for sale on the Vendidit.com Marketplace, using any of the Vendidit.com Services, or using any of the Vendidit.com Tools constitutes Seller’s acceptance of such changes. If Seller does not agree to any posted changes, does not continue to use the Vendidit.com Marketplace, the Vendidit.com Services, or the Vendidit.com Tools.

 

ARTICLE II: VENDIDIT.COM PROGRAM TERMS AND CONDITIONS

 

  • Vendidit.com’s Role.  Vendidit.com, through the Vendidit.com Marketplace Program, provides the Vendidit.com Sites, Vendidit.com Tools, and Vendidit.com Services to enable Seller to sell Seller’s Products to third-party buyers (“Customers”).  Seller may only sell those Products Seller has the legal right to sell and must do so consistent with the terms and conditions of this Agreement.  All transactions with Customers are between Seller and the Customer, and Seller will be the seller of record.  Vendidit.com is not a party to any transactions although Vendidit.com and will provide the Vendidit.com Services in connection with the transactions as expressly set forth in Section 6.  Seller acknowledges and agrees that Vendidit.com may contract with third party service providers to provide Vendidit.com Services, management software and other services for the Vendidit.com Marketplace Program.

 

  • General Product Policy
    • Product Guidelines. The Vendidit.com Terms and Conditions describe certain general obligations regarding Products Seller may and may not list on the Vendidit.com Marketplace.  Additional detail of prohibited products is set forth in the Prohibited Products Policy.  Seller will not list, market, promote, offer for sale, or sell any Products through the Vendidit.com Sites in violation of this Agreement, which includes the Prohibited Products Policy incorporated herein by reference.
    • Compliance with the Law. Seller will, and Seller represents and warrants that Seller will, comply with all applicable Laws (meaning all applicable laws, regulations, legal requirements, and generally accepted industry standards, including laws related to marketing, packaging, consumer and product safety, product testing, labeling, and pricing in connection with this Agreement; Sellers use of the Vendidit.com Marketplace, Services, and Tools, and Sellers marketing, promotion, offering for sale, or selling any Products through the Vendidit.com Marketplace. Upon Vendidit.com’s request, Seller will promptly provide Vendidit.com with (i) certificates of authenticity or other proof acceptable to Vendidit.com for Products, (ii) documentation showing that Seller has a legal right to sell the Products through Vendidit.com, (iii) documentation showing that Seller is licensed or otherwise has a right to use any Seller Product Information, and (iv) any other information or documentation requested by Vendidit.com.

 

    • Right to Sell. Seller may sell a Product on Vendidit.com through the Marketplace Program if Seller is an authorized reseller of that Product, or purchased or otherwise legally acquired that Product from an authorized reseller of that Product, or otherwise has a legal right to sell that Product.
    • Product Authenticity. Seller may only sell Products through the Marketplace Program that are authentic. Seller will maintain adequate processes and procedures for conducting diligence to assure that Products are authentic, authorized for sale, and not stolen, counterfeit, illegal or misbranded. Seller represents and warrants Seller will not list any Product or Seller Product Information on the Vendidit.com Sites or through the Marketplace Program that is counterfeit, illegal, stolen, or fraudulent, or infringes any third-party “Intellectual Property Rights,” which includes, but is not limited to, any patent, copyright, trademark, service mark, trade dress, including any proprietary “look and feel”, trade name, logo, moral right, trade secret and any other intellectual property or proprietary right, or that Seller otherwise does not have the right to sell. Seller further represents and warrants that all information Seller provides about the Product will be correct, current and complete and will not be deceptive, fraudulent or misleading.
    • Restricted Listings. Vendidit.com, in its sole discretion, may remove listings or Seller Product Information, or prohibit Seller from listing any Products or providing any Seller Product Information.  This right of Vendidit.com does not require and should not infer that Vendidit.com has any affirmative obligation to remove Seller listing or Seller Product Information that may be in violation of any agreement by Seller herein or in violation of any local, state, or federal laws and/or rules and regulations. Vendidit.com may remove Seller’s listings in its sole discretion in response to receiving notification of alleged copyright infringement, trademark misappropriation, or other Intellectual Property Rights or other claims. In the event Vendidit.com requests Seller remove Products or Product Information from the Vendidit.com Sites, Seller will make all commercially reasonable efforts to remove the Products or Seller Product Information within 24 hours of such request so that the Products and related Seller Product Information no longer appear on the Vendidit.com Sites.  Subsequently, Seller agrees it will not list such removed Products or Seller Product Information on the Vendidit.com Sites until such listing is subsequently authorized in writing by Vendidit.com.

 

  • Seller Product Information and Seller Trademarks
    • Seller Product Information shall include any information Seller provides, links to, or opts into certain product information and any related media, materials, links, images, and other content.  Seller represents and warrants all Seller Product Information is truthful and accurate and is in compliance with all Seller Policies and that Seller will not use Seller Product Information to redirect end users of the Vendidit.com Sites to any other sales channels.  
    • Seller hereby grants Vendidit.com and its affiliates, and its service providers and marketing partners, a non-exclusive, royalty-free, perpetual, sublicensable, irrevocable right and license (a) to publish, reproduce, display, distribute, transmit and otherwise use Seller’s name, trademarks, service marks, and logos (“Seller Marks”), and (b) to publish and perform, reproduce, distribute, transmit, display, modify, create derivative works of, and otherwise use and commercially exploit all Seller Product Information, in each case in connection with the Vendidit.com Marketplace Program.  Seller acknowledges and agrees that Vendidit.com assumes no responsibility or liability for any Seller Product Information and Seller has no responsibility for reviewing or policing such Seller Product Information. 

 

  • Required Product Information.  In order to list a Product for sale on the Vendidit.com Sites, Seller must provide all requested Seller Product Information. 
    • Seller must also provide Vendidit.com and including with Seller’s listing all warnings or disclaimers required to be posted with respect to the Products.  Vendidit.com may require at its sole discretion that Seller may be required to provide additional Seller Product Information for Products requiring warnings or disclaimers. 
    • Product Information provided by Seller must be of at least the same level of quality as the highest quality used by Seller on any other site.

 

  • Referral Fees and Payment
    • Monthly Service Fee. Vendidit.com will earn a monthly service fee as set forth in the Vendidit.com Fee Schedule.
    • Referral Fees. Vendidit.com will earn a referral fee equal to a percentage of the gross sales proceeds from the sale of Products excluding only those taxes separately stated and charged (the “Referral Fee Percentage”) from each Product sale through the Vendidit.com Site (the “Referral Fee”) as further set forth in the Vendidit.com Fee Schedule. 
    • Payment. Vendidit.com will invoice Seller for all fees and services.  Payments will be charged to the Seller’s credit card on file.  
  • Listing, Bidding, Order Processing, Fulfillment, and Shipping
    • A Listing can be one single item, a quantity of the same item or a group of items sold together such as a pallet or a truck
    • Listing Data shall mean the content Vendidit.com associated with particular Inventory, including, but not limited to, the description and quantity of the Inventory. Vendidit and Seller shall have the right to modify or correct any Listing Data at any time and such modification shall be binding on any purchase of any Inventory made as a result of a bid placed after such modification.
    • Terms of Bidding
      • Starting Bid- Sellers set an opening bid price 
      • Bidding Increments- Sellers set the dollar increment in which each bid will increase by
      • Reserve- the lowest, acceptable price is pre-determined by the Seller
      • Proxy Bids- Buyers have the option to set a maximum price that they are willing to pay for an item and then allow the computer system to bid for the Buyers by the bid increment until someone places a higher bid than their maximum.
      • Winning Bids- the bid with the highest price at the time a Listing ends.
      • Binding Bids- All bids on Vendidit is considered binding – when the Buyer win an auction, the Buyer is agreeing to complete the purchase.



    • Order Process. All transactions with Customers are between Seller and the Customer, and Seller will be the seller of record. Customers will place orders (the “Customer Orders”) using the Vendidit.com system. 
    • Customer Order Fulfillment. Once Vendidit.com has transmitted an Order to Seller, Seller will, at Sellers own expense, be solely responsible for, and bear all liability for, the fulfillment and delivery of the Order, including without limitation, packaging and shipping Products and customer service. If Seller cannot fulfill the entire quantity of a Customer Order, Seller will cancel that Order and promptly notify Vendidit.com of such cancellation. 
    • Shipping Options. Seller are responsible to provide specific shipment updates and tracking for all Products through the Vendidit.com Tool as requested by Vendidit.com. Seller has the option to use the Vendidit.com negotiated shipping rates. 
    • Regional Sales.  Seller will not enable shipping in the Vendidit.com Tool for any Product in any region where the sale of such Product violates any Seller Policy or applicable Law. 
    • Shipping. Seller will be responsible to coordinate pick up or shipping all Products purchased by Customers in accordance with the Vendidit.com Shipping Policy.  Seller will be responsible for any costs or charges related to shipping-related problems, including without limitation, damaged or lost Products, late shipments or incorrect delivery.  Seller will be solely liable for all costs related to any duplicate or inaccurate shipments based upon Seller’s retransmission of Orders to Vendidit.com. 
    • No Marketing Materials in Shipment.  Packaging for Products may not contain any Seller marketing materials, and emails sent by Seller to Customers in connection with an Order will not contain any marketing materials or links to any Seller or third-party website, except for links to shipping websites that permit the Customer to track shipment of their Order. 
    • Shipping Status Reports. Customer Orders not timely shipped in accordance with the Shipping Policy may be automatically cancelled by Vendidit.com and Seller will be solely liable and responsible for all Product costs and shipping costs associated with such cancelled Order and Seller forfeit any claims for any payments of Referral Fee otherwise payable under this Agreement related to such cancelled Customer Orders.
    • Risk of Fraud or Loss.  Seller will bear all risk of fraud or loss and all costs related thereto. For all credit card chargebacks for which Seller bear the risk, Vendidit.com will offset such chargeback amounts against amounts otherwise owed Seller, or send Seller an invoice and Seller will pay such invoice within 30 days of receipt. 
    • Notwithstanding anything to the contrary herein, Seller will bear the risk and all costs of credit card fraud in connection with any Product that is not shipped by Seller to the shipping address specified in the Order Information provided by Vendidit.com.

 

  • Price Adjustments; Cancellations, Returns, Refunds, and Recalls
    • Price Adjustments. In the event that Seller includes a mistake or error in connection with a Product sold on the Vendidit.com Marketplace, upon receipt of an Order, at Vendidit.com’s sole discretion, Seller may be required to honor such mistake or error and provide the Product to the Customer.
    • Return Logistics and Cancellations. Seller is solely responsible for processing all Customer cancellations, returns, refunds and/or customer service price adjustments. Seller will stop and/or cancel any Order if requested by Vendidit.com; provided that, if Seller have transferred Products to a shipper, Seller will use commercially reasonable efforts to stop and or cancel delivery by the shipper. 
    • Return Policy. Sellers return and refund policies for Products sold through the Vendidit.com Sites will be no less favorable to Customers than Sellers most favorable policies offered on Sellers website, if any, for such Products and must comply with the Return Policy.
    • Refunds. Seller will be responsible for all refunds. If Seller determines a Customer is due a refund, Seller will notify Vendidit.com through Seller Center and include other related information requested by Vendidit.com.  Seller will be responsible for reimbursing Vendidit for any refunds or adjustments Vendidit.com makes to a Customer and Vendidit.com, in its sole discretion, will obtain reimbursement from Seller either via offset of any amounts payable by Vendidit.com to Seller or by billing Seller for such amounts.
    • Incorrect Returns and Abandonment. Seller represents and warrants that Seller shall include and keep updated with Vendidit.com a proper and valid return address for Customer to return Products. In the event that Sellers Products are returned to Vendidit.com or a third party, Seller acknowledges and agrees that such Products shall be considered abandoned by Seller, and Vendidit.com shall have sole discretion to handle the disposition of Seller Products. Seller will pay any and all costs incurred by Vendidit.com and third parties who improperly receive Sellers Products.
    • Recalls. Vendidit.com will have no responsibility or liability for any recalls, whether mandated or voluntary, of Products sold through the Vendidit.com Marketplace.  Seller is solely responsible for any non-conformity or defect in, or any public or private recall, or any safety alert of Seller’s Products.  Seller will promptly remove any recalled Products from the Vendidit.com Sites by unpublishing or retiring the Product.  Seller will notify Vendidit.com of any Product recall or safety alert.

 

  • Customer Service
    • Obligations. Seller will be responsible for all customer service to Customer, except for issues related to payment as otherwise outlined herein.  In performing such customer service, Seller will always represent Seller as a separate entity from Vendidit.com.  Seller agrees that Seller will not disparage Vendidit.com or its affiliates or its or their products or services when performing customer service obligations or any other obligation under this Agreement. 
    • Monitoring.  In the event Seller monitors or record customer service calls, Seller must give notice of such monitoring or recording to all Customers during each such call prior to providing any customer service in accordance with applicable Law.

Escalations. In the event the Seller and Customer has a dispute, Vendidit.com. offers a dispute resolution process. Resolutions will first be mediated between the Customer and Seller, but Vendidt.com reserves the right to arbitrate a decision if the two parties fail to agree or if it is determined that arbitration is the best course of action for the sake of time and efficiency for all involved. When compensation is warranted, the responsible party will be expected to bear the financial burden. 

  • Reporting and Audit Rights
    • Required Reporting. Seller will, within a reasonable period of time (not to exceed 30 days) following request from Vendidit.com, provide Vendidit.com with any reports, information or other documentation relating to Seller’s compliance with this Agreement and applicable Law reasonably requested by Vendidit.com. In the event Vendidit.com requests that Seller provide Vendidit.com with copies of reports that Seller were required to file with the Consumer Product Safety Commission or any other regulatory agency, Seller will provide such reports within 7 days of Vendidit.com's written request.
    • Right of Audit. Seller will keep accurate and complete books, records, product testing, compliance information and records, and accounts related to Sellers Products, the Marketplace Program transactions and this Agreement, and will allow Vendidit.com, or its duly authorized representative, the right, upon not less than seven (7) business days prior written notice, during the term of this Agreement and for three (3) years after its termination or expiration to conduct full and independent audits and investigations of all information, books, records, product testing, compliance information and records, and accounts reasonably required by Vendidit.com to confirm Sellers compliance with the terms of this Agreement and applicable Law. The cost of any and all audits shall be borne by Seller. 

 

  • Ownership and Use Rights
    • Vendidit.com Marketplace. Vendidit.com retains all right, title and interest (including all Intellectual Property Rights) in and to the Vendidit.com Marketplace, the Vendidit.com Sites, the Vendidit.com Tools, the Vendidit.com Services, and their Confidential Information. Except for a limited right for Seller to access the Vendidit.com Sites and Vendidit.com Tools made available to Seller in accordance with and subject to all the terms and conditions of this Agreement, Vendidit.com retains all rights in the foregoing and grant no other rights or licenses, whether by implication, estoppel, or otherwise, under any of their Intellectual Property Rights under or in connection with this Agreement.
    • Ownership of Order Information. Seller agrees and hereby assigns to Vendidit.com and Vendidit.com owns all Order Information and all other information relating to Customer Orders or Products, including, but not limited to, information that is entered into a Vendidit.com Tool, information that is created as a result of a transaction, and ratings and reviews provided by Customers. All such information is subject to the Privacy Policy.
    • Use of Order Information. Seller may only use Order Information to further a transaction related to this Agreement, in accordance with the terms of the Agreement and the Privacy Policy and applicable Law. Seller agrees that it will not disclose any Order Information to any third party except as necessary for Seller to perform Sellers obligations under the Agreement, use any Order Information to conduct customer surveys or for any marketing or promotional purposes, contact a Customer that has ordered a Product that has not yet been delivered with the intent to collect any amounts in connection therewith or to influence such Customer to make an alternative or additional purchase, or use any information about Vendidit.com Customers gained through the Marketplace Program to directly solicit such Vendidit.com Customers through any other sales channels. The foregoing does not prevent Seller from using information Seller gathered independent of the Marketplace Program provided that, Seller does not target communications to any Customer on the basis of the intended recipient being a Vendidit.com user.

 

  • Termination or Suspension; Survival.  Vendidit.com may terminate this Agreement with Seller at any time in its sole discretion without notice to Seller on Seller Center or otherwise. Vendidit.com may also immediately terminate or suspend Seller’s participation in the Vendidit.com Marketplace, Sellers access to Vendidit.com Services or the Vendidit.com Tools, or remove Sellers listings at any time in its sole discretion if Seller violate the terms of this Agreement. 

 

  • Indemnification
    • Indemnity. At Vendidit.com’s option and decision, Seller will protect, defend, indemnify and hold Vendidit.com and its affiliates (and their respective officers, employees, shareholders, directors, agents and representatives) harmless from and against any and all liabilities, costs, losses, damages, judgments, fines, penalties, interest, and expenses (including reasonable attorneys' fees and disbursements of counsel, court costs, and costs of any investigation, defense, and settlement) arising out of any actual or alleged claims or causes of action (regardless of whether such matters are groundless, fraudulent or false) that arise out of or relate to any actual or alleged: (i) any breach (or alleged acts or omissions that if true would be a breach) of any of Sellers representations, warranties, or obligations set forth in this Agreement; (ii) the Seller Site or other sales channels, the Products, any Seller Product Information, the advertisement, offer, sale or return of any Products; (iii) any actual or alleged violation, misappropriation or infringement of any Intellectual Property Rights by Seller, the Products, or any Seller Product Information; (iv) any taxes assessed, incurred, or owed in connection with, or arising out of, any transaction undertaken on the Marketplace Program, or the collection, payment or failure to collect or pay such taxes, including, but not limited to, Sellers obligations set forth in Section 15 herein; (v) death of or injury to any person, damage to any property, or any other damage or loss, by whomsoever, suffered, resulting or alleged to result in whole or in part from Sellers use of the Vendidit.com Marketplace, the Seller Site, the Products, or any Seller Product Information.
    • Claims. Claim means any action, allegation, claim, demand, lawsuit, legal proceeding, administrative or other proceedings or litigation, inquiry, audit, or investigation.
    • Indemnification Procedure. Seller shall promptly notify Vendidit.com in writing of the assertion, filing or service of any Claim or other matter that is or may be covered by this indemnity, and shall immediately take such action as necessary or appropriate to protect the interests of Vendidit.com, and its affiliates, respective officers, employees, shareholders, directors, agents and representatives. Seller shall promptly notify Vendidit.com in writing of the legal counsel that Seller proposes to engage to defend the interests of Vendidit.com in such matter. If Vendidit.com determines that such legal counsel has not represented, defended or protected Vendidit.com’s interests or reasonably believes Sellers legal counsel is unwilling or unable to do so, Vendidit.com may replace such counsel with other counsel of Vendidit.com’s own choosing. In such event, any fees and expenses of Vendidit.com’s new counsel, together with all expenses or costs incurred because of the change of counsel, shall be paid or reimbursed by Seller as part of its indemnity obligation under this Agreement. Further, Seller will provide, at Sellers sole cost and expense, all cooperation, documentation, and information reasonably requested by Vendidit.com in connection with any Claim. Vendidit.com shall at all times have the right to direct the defense of, and to accept or reject any offer to compromise or settle, any lawsuit, claim, demand or liability asserted against Vendidit.com, and its affiliates, respective officers, employees, shareholders, directors, agents and representatives, and Seller will not settle or resolve any portion of any such claim or lawsuit without Vendidit.com’s prior written approval.

 

  • Limitation of Liability
    • No Consequential Damages. IN NO EVENT SHALL VENDIDIT.COM OR ITS AFFILIATES BE LIABLE TO SELLER OR ANY THIRD PARTY UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (I) LOST PROFITS, LOSS OF USE, LOST REVENUE, LOSS OF BUSINESS OR LOSS OF OR INACCURATE DATA, INTERRUPTION OF BUSINESS, (II) EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR THE LIKE, OR (III) FOR COST OF COVER, RECOVERY OR RECOUPMENT OF ANY INVESTMENT, EACH OF WHICH IS HEREBY EXCLUDED BYAGREEMENT OF THE PARTIES REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER THE PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    • Monetary Cap. IN NO EVENT SHALL VENDIDIT.COM’S OR ITS AFFILIATES’ AGGREGATE LIABILITY TO SELLER OR ANY THIRD PARTY FOR ANY CLAIMS, COSTS, LOSSES, DAMAGES, JUDGMENTS, FINES, PENALTIES, PENALTIES, INTEREST, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS OF ANY INVESTIGATION, DEFENSE, AND SETTLEMENT) FOR ANY REASON WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY, EXCEED THE TOTAL REFERRAL FEES PAID BY SELLER TO VENDIDIT.COM PURSUANT TO THIS AGREEMENT DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY. THE LIMITATIONS OF LIABILITY REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES.
    • Survival of Limitations. THE LIMITATIONS SPECIFIED IN THIS SECTION 13 WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

 

  • No Warranties.  THE MARKETPLACE PROGRAM, THE VENDIDIT.COM SITES, THE VENDIDIT.COM SERVICES, AND THE VENDIDIT.COM TOOLS ARE PROVIDED ON AN "AS IS" BASIS. NEITHER VENDIDIT.COM NOR ITS AFFILIATES MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION: (a) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (b) THAT THE MARKETPLACE PROGRAM, THE VENDIDIT.COM SITES, THE VENDIDIT.COM SERVICES, OR THE VENDIDIT.COM TOOLS WILL MEET SELLERS REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, OR OPERATE WITHOUT ERROR; AND (c) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TO THE FULL EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VENDIDIT.COM AND ITS AFFILIATES DISCLAIM ANY AND ALL SUCH WARRANTIES.

 

  • Taxes
    • Withholding.  If Vendidit.com reasonably determines that a Law or any taxing authority requires Vendidit.com to deduct or withhold any taxes (including any tax that Vendidit.com reasonably determines should have been withheld from previous payments under the Agreement but was erroneously not deducted or withheld) from a payment to Seller under the Agreement, Vendidit.com shall deduct and withhold any taxes required to be withheld by Vendidit.com under applicable Law as and when the legal obligation to withhold arises, and Seller hereby irrevocably consent to such withholdings.  In the event such withholdings occurs after previous payments were made under the Agreement but erroneously not deducted or withheld, Seller agrees Vendidit.com may invoice Seller for the immediate payment of such amounts.
    • Documentation. Seller agrees Seller will provide Vendidit.com with appropriate withholding certificates or other certificates or documentation, including but not limited to IRS Forms W- 9 or W-8 (e.g., Form W-8ECI, Form W-8BEN, Form W-8BEN-E, Form W-8IMY, etc.) before any payment is made to Seller under this Agreement, as required by Law, and upon subsequent request by Vendidit.com. Seller further agrees to timely file all required returns, report any income, and pay any applicable taxes incurred as a result of the payments Seller receive under this Agreement, including, but not limited to, sales and use taxes, and provide, upon request, evidence to Vendidit.com, including IRS Form 4669 (or other similar form requested by Vendidit.com), that such income was reported. To the extent required by applicable Law, Vendidit.com agrees to provide IRS Forms 1099-K or other appropriate forms to Seller evidencing the amounts paid to Seller under the terms of the Agreement and any taxes withheld.
    • Sales Tax.  Seller agrees that Vendidit.com is only facilitating the marketplace for a Seller to connect with a potential Buyer.  Seller acknowledges and agrees that Seller is solely responsible for the collection and remission of sales and/or use taxes which are required to be collected and remitted by any of the jurisdictions Seller is connected with selling Seller’s Products.  In the event Vendidit.com is required to remit any sales and/or use tax resulting from Seller’s use of Vendidit.com’s Marketplace or other services, Seller shall immediately reimburse Vendidit.com upon notice from Vendidit.com of such obligation.

 

 

  • Confidentiality.
    • Confidential Information Defined. With respect to this Agreement, Confidential Information means any information, in any form or any medium, that is provided by Vendidit.com or its affiliates to Seller which is (i) treated as confidential by or is a trade secret of Vendidit.com, and is expressly identified, orally or visually, as “confidential”, “restricted”, or the like, (ii) is acknowledged by Vendidit.com as valuable, special or a unique asset of Vendidit.com, or (iii) would otherwise logically be considered confidential or proprietary of Vendidit.com. Vendidit.com’s Confidential Information includes, but is not limited to, this Agreement, Vendidit.com’s business plans, business processes, cost, pricing, marketing, sales, customer, and strategy information, and any additional information which Vendidit.com designates as confidential. In addition, Seller will treat as confidential, and may not disclose to any third party, any information or communication from, on behalf of, or with Vendidit.com regarding Sellers compliance with this Agreement. However, in any event, Confidential Information shall not mean information that Seller can prove (A) is in or becomes part of the public domain other than through an unauthorized or improper act or omission of Seller; (B) is or was independently developed by Seller without reference to Vendidit.com’s Confidential Information; or (C) is or was lawfully received from a third party having no obligation as to its confidentiality.
    • Obligation of Confidentiality. Seller shall treat as confidential Vendidit.com’s Confidential Information and shall protect it from unauthorized access, use, or disclosure. Seller will use no less than reasonable care in maintaining the confidentiality of Vendidit.com’s Confidential Information. Seller shall not use or copy Vendidit.com’s Confidential Information for any purpose other than in furtherance of authorized purposes under this Agreement. Further, Seller shall restrict disclosure of, and access to, Vendidit.com’s Confidential Information solely to Sellers personnel, agents or contractors who need to know such Confidential Information in furtherance of the authorized purposes under this Agreement, and only after Seller advise such personnel, agents or contractors as to, and they have acknowledged and agreed to comply with, the restrictions as to such Confidential Information under this Agreement as they apply to Seller. The restrictions on disclosure shall not apply to the extent that Confidential Information is required to be disclosed pursuant to any order or directive of a court or governmental agency of competent jurisdiction; provided that, to the extent practicable, prior written notice is given to Vendidit.com so that it may, in its discretion, seek a protective order or other relief from disclosure.
    • Other Agreements. Seller may have entered into a separate confidentiality agreement with Vendidit.com or its affiliates. The parties acknowledge and agree that the confidentiality obligations herein shall not modify any separate confidentiality agreement entered into by Seller and Vendidit.com. This Agreement does not limit Seller’s obligations under any separate agreement with Vendidit.com or its affiliates.
    • Injunction. Without limiting any other remedies available at law or equity, Vendidit.com shall be entitled to seek injunctive relief to enjoin any threatened or continuing disclosure or unauthorized use of its Confidential Information in violation of this Agreement.
    • Return of Confidential Information. Upon Vendidit.com’s written request or upon the termination or expiration or this Agreement, Seller shall return all Confidential Information of Vendidit.com in Sellers possession or control.
    • Survival of Confidentiality Obligations. The confidentiality obligations hereunder shall continue for three (3) years from the expiration or termination of this Agreement; provided, however, that Seller shall keep any trade secrets of Vendidit.com confidential as long as such information is deemed a trade secret by Vendidit.com.

 

  • Miscellaneous
    • Integrated Agreement. This Agreement and all referenced Policies and other information and materials referenced herein, which are incorporated by reference into this Agreement, constitutes the complete integrated agreement between the parties concerning the subject matter of this Agreement. All prior and contemporaneous agreements, understandings, negotiations or representations, whether oral or in writing, relating to the subject matter of this Agreement are superseded in their entirety by this Agreement. To the extent Seller are already a party to an agreement with Vendidit.com regarding Sellers participation as a Seller in the Vendidit.com Marketplace Program, the terms and conditions of that agreement are hereby terminated and replaced in their entirety with the terms and conditions of this Agreement but Seller will continue to comply with all Sellers surviving obligations under that agreement.
    • Independent Contractors. Seller and Vendidit.com are acting as independent contractors. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
    • Governing Law. This Agreement is governed by and will be construed in accordance with the laws of the State of Texas without regard to its principles of conflicts of law. Seller agrees to exclusive personal jurisdiction of the federal and state courts located in Travis County, Texas shall have the exclusive venue and jurisdiction over any actions or suits relating thereto. The parties shall not raise and hereby waive any defenses based upon venue, inconvenience of forum, or lack of personal jurisdiction in any action or suit brought in accordance with the foregoing.  Conflicts of laws provisions shall not be applicable to this Agreement.
    • Assignment. Seller may not assign this Agreement or any of Sellers rights or obligations under this Agreement without Vendidit.com’s prior written consent.
    • Insurance. Seller may have obligations to customers or others in the event of claims for damage or injury arising from Sellers operations or products Seller sell. If Seller currently maintains commercial general, product, umbrella, and/or excess liability insurance to insure against such claims, each policy shall also include Vendidit.com, its subsidiaries and its affiliates as additional insured. Seller may be required to obtain additional insurance. If notified of such requirement, Seller will have up to thirty (30) days to secure coverage. At our request, Seller will provide to us certificates of insurance, complete insurance policies, and any other related documents evidencing the required insurance coverage.
    • Publicity. Seller will not use the name, logo, trademarks or trade names of Vendidit.com or any of their affiliates or otherwise, directly or indirectly, refer to Vendidit.com of any of its affiliates in any publicity release, promotional material, customer or partner list, advertising, marketing or business-generating effort, whether written or oral, without the prior written consent of Vendidit.com.
    • Export Control. Seller will not use the Vendidit.com Marketplace to directly or indirectly export, re-export, transmit, or cause to be exported, re-exported or transmitted, any commodities, software or technology to any country, individual, corporation, organization, or entity to which such export, re-export, or transmission is restricted or prohibited, including any country, individual, corporation, organization, or entity under sanctions or embargoes administered by the United Nations, US Departments of State, Treasury or Commerce, the European Union, or any other applicable government authority.
    • Severability. In the event that any provision of this Agreement is determined by a court of competent jurisdiction to be illegal, invalid or otherwise unenforceable, such provision (or part thereof) shall be enforced to the extent possible consistent with the stated intention of the parties, or, if incapable of such enforcement, shall be deemed to be deleted from this Agreement, while the remainder of this Agreement shall continue in full force and remain in effect according to its stated terms and conditions.
    • Waiver. The waiver by either party of a breach of or a default under any provision of this Agreement shall not be effective unless in writing and shall not be construed as a waiver of any subsequent breach of or default under the same or any other provision of this Agreement, nor shall any delay or omission on the part of either party to exercise or avail itself of any right or remedy that it has or may have operate as a waiver of any right or remedy.
    • Attorney’s Fees. In the event either party brings any action or proceeding against the other under this Agreement, each party will be responsible for its own attorney’s fees, costs, and expenses.
    • Force Majeure. Vendidit.com will not be liable for any delay or failure to perform any of its obligations under this Agreement by reasons, events, or other matters beyond its reasonable control.
    • Survival.  Sections 3, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, and 16 shall survive the expiration or termination of this Agreement for any reason.
